AI Club
Please read these Terms of Use carefully and in their entirety before purchasing or using Digital Empires AI Club (hereinafter referred to as the “AI Club“, “Platform“, “Membership“, or “Service“). Digital Empires AI Club and its content are owned and operated by Digital Empires UG.
- Definitions:
“Company”, “We”, “Our”, or “Us” means Digital Empires UG.
“AI Club”, “Platform”, “Membership”, or “Service” refers to the Digital Empires AI Club, including all AI tools, software, features, content, updates, and resources made available through the membership, including but not limited to Money Mind AI, Carousel Studio, Conversion Studio, and any future tools or features included in the membership.
“Use”, “Using”, or “Accessing” means accessing, browsing, generating content, interacting with AI tools, or otherwise engaging with the Platform.
“You” or “Your” means the purchaser, subscriber, or user of the AI Club.
2. Consent:
By purchasing, subscribing to, accessing, or using Digital Empires AI Club, you agree to comply with and be bound by these Terms of Use.
If you do not agree to these Terms, you should not access or use the Platform.
3. Refund Policy:
Due to the digital and software-based nature of the AI Club, no refunds will be issued under any circumstances.

4. DISCLAIMER:
By using the AI Club, you acknowledge that Digital Empires UG provides AI-powered software and educational tools designed to assist with business planning, content creation, marketing, and productivity.
The AI Club is intended for informational, educational, and productivity purposes only.
We do not guarantee:
- viral performance
- engagement levels
- business outcomes
- income results
- sales or marketing success
While we strive to ensure the Platform functions correctly and generates useful outputs, we make no guarantees regarding the accuracy, completeness, reliability, or suitability of any AI-generated content.
Users are solely responsible for reviewing, editing, fact-checking, and approving any content before publishing or relying upon it.
5. Assumption of the Risk
You acknowledge that your use of the AI Club is entirely at your own risk.
You are responsible for:
- reviewing generated content
- ensuring compliance with platform rules (Instagram, LinkedIn, etc.)
- verifying the accuracy of information before publishing
Digital Empires UG is not responsible for any consequences resulting from your use of generated content.
6. Intellectual Property Ownership:
Digital Empires AI Club, including but not limited to:
- the software
- AI prompts
- templates
- workflows
- algorithms
- branding
- platform design
- proprietary frameworks
are the intellectual property of Digital Empires UG.
You may use the Platform to create content for your own personal or business use.
You may not copy, reproduce, distribute, sublicense, resell, reverse engineer, or recreate any part of the Platform or its underlying systems.
Violations may result in termination of access and legal action.
7. Account Access & Sharing:
Your account is licensed to you only.
You may not share your login credentials with others.
If we detect account sharing or unauthorized access:
- no refund will be issued
- your account may be suspended or terminated
- access to the App may be revoked
8. No Guarantees of Results:
Any testimonials, case studies, or examples shared by Digital Empires UG are illustrative only.
They do not represent or guarantee that you will achieve the same results.
Your success depends on many factors including:
- your content strategy
- audience
- marketing efforts
- consistency
Digital Empires UG makes no guarantees regarding performance, reach, engagement, or financial outcomes.
9. No Warranties
The AI Club is provided “AS IS” and “AS AVAILABLE.”
We do not guarantee:
- uninterrupted service
- error-free functionality
- compatibility with all platforms
- continuous availability. Digital Empires UG disclaims all warranties including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.ram.
10. Limitation of Liability
To the fullest extent permitted by law, Digital Empires UG shall not be liable for any direct, indirect, incidental, or consequential damages resulting from:
- use of the AI Club
- AI-generated content
- technical interruptions
- loss of data
- loss of business opportunities
- reliance on generated outputs
Your use of the App is entirely at your own risk.
11. Indemnification
By using the AI Club, you agree to indemnify and hold harmless Digital Empires UG, its employees, contractors, affiliates, and partners from any claims, damages, losses, or liabilities arising from:
- your use of the App
- your published content
- violation of these Terms of Use
12. Payment Terms
Payments may be processed through third-party providers including:
- Stripe
- PayPal
- ThriveCart
Digital Empires UG is not responsible for the policies or security practices of these third-party platforms.
If subscription payments fail, access to the AI Club may be suspended until payment is successfully completed.
13. Termination of Access
We reserve the right to suspend or terminate your membership if:
- these Terms are violated
- misuse or abuse of the platform occurs
- account sharing is detected
- fraudulent activity is suspected
No refunds will be issued upon termination.
14. Arbitration Clause
If a dispute arises regarding the use of the AI Club, please contact us first at info@digitalempires.co.
If the issue cannot be resolved, both parties agree to submit the dispute to binding arbitration through the German Arbitration Institute (DIS).
Any arbitration hearings will take place within 100 km of Nuremberg, Bavaria.
By agreeing to arbitration, you waive the right to a jury trial.
15. Severability
If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will continue to remain in full force and effect.
16. Entire Agreement
These Terms constitute the entire agreement between you and Digital Empires UG regarding the Digital Empires AI Club
No other agreements or representations shall override these Terms.
17. Governing Law
These Terms of Use shall be governed by the laws of Bavaria, Germany.
Any disputes shall be resolved within the jurisdiction of Nuremberg, Bavaria.
