- Definitions:

“Program”, “Kit”, or “Product” refers to the Carousel Cash Kit, including all templates, trainings, workbooks, guides, downloads, videos, digital resources, and any accompanying materials provided with your purchase.
“Participation”, “Participating”, “Using”, or “Use” means accessing, downloading, viewing, implementing, or otherwise engaging with the Product.

2. Consent:

- frameworks
- written content
- graphics
- branding
are the intellectual property of Digital Empires UG.
You may use the templates and materials for your own personal or business use.
You may not copy, reproduce, redistribute, sublicense, resell, share, claim ownership of, or otherwise exploit any part of the Product.
Any violation of these Terms may result in legal action.
7. No Sharing:
Your purchase is licensed to you only.
You may not distribute, copy, forward, upload, share, or give access to any part of the Carousel Cash Kit to another person.
If the Product includes protected download areas or member access, you may not share your login credentials with anyone.
Violations of this clause may result in immediate termination of access without refund.
8. No Guarantees of Results
Any testimonials, customer stories, examples, screenshots, statistics, or case studies are provided for illustrative purposes only.
They do not guarantee that you will achieve similar results.
Your results depend on many factors, including your niche, audience, consistency, implementation, offer, marketing strategy, and business experience.
Digital Empires UG makes no guarantees regarding followers, engagement, sales, income, or business growth.
9. DISCLAIMER – No Warranties, Guarantees, or Representations Are Being Made:

To the fullest extent permitted by law, Digital Empires UG makes no representations or warranties regarding:
- future income
- sales
- profitability
- marketing success
- business performance
We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
10. Your Release of Us, Indemnification, Hold Harmless:
To the fullest extent permitted by law, Digital Empires UG shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your purchase or use of the Product.
By purchasing the Carousel Cash Kit, you agree to indemnify and hold harmless Digital Empires UG, its directors, employees, contractors, affiliates, and partners from any claims, liabilities, damages, or expenses arising from your use of the Product or violation of these Terms.
11. ARBITRATION CLAUSE:
If you have any complaint or should any issue arise in the use of the Program, please contact us directly first by emailing us at info@digitalempires.co.
However, if we are unable to amicably resolve your dispute in that manner, you agree that you and Digital Empires UG shall submit your dispute to binding arbitration with the German Arbitration Institute, before an arbitrator that is mutually agreed upon, in accordance with the German Arbitration Institute (“DIS”) rules.
By agreeing to this term, you hereby agree and understand that you’re waiving your right to a jury trial in court, which would otherwise be available to you if not for this Arbitration Clause. Should any arbitration hearing need to be held, it shall be held within 100 kms of Nuremberg, Bavaria.
If the arbitrator issues an award and a judgment is made, the judgment will be binding and will be entered in court in the State of Bavaria. The only award that can be issued to you is a refund of any payment made to Digital Empires UG for the applicable Program. You are not permitted to seek additional damages, including consequential or punitive damages.
12. Payment Terms
Payments may be processed through third-party providers including:
- Stripe
- PayPal
- ThriveCart
Digital Empires UG is not responsible for the policies, security, or practices of these third-party payment providers.
13. Severability
If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms of Use constitute the entire agreement between you and Digital Empires UG regarding the Carousel Cash Kit.
No other agreements or representations shall override these Terms.
15. Governing Law
These Terms of Use shall be governed by the laws of Bavaria, Germany.
Any disputes shall be resolved within the jurisdiction of Nuremberg, Bavaria.
